Seller Agreement

Welcome to Stamps2Go ... connecting philatelic buyers and sellers!

Any person or company who wants to sell items on Stamps2Go must accept the terms and conditions of this Seller Agreement without change. By registering as a seller on Stamps2Go, and using the service, you agree to be bound by all the terms and conditions of this agreement, and to applicable policies and guidelines which may be established.

Stamps2Go reserves the right to change any of the terms and conditions contained in this Seller Agreement at any time. Any changes will be effective upon posting of the revisions on the Site. You are responsible for adhering to this agreement, and any subsequent revisions that might be made to it, even if no notice is received. This Seller Agreement will be available for review at the Stamps2Go site at any time.

1. ELIGIBILITY

Use of the Stamps2Go site and services is limited to persons or companies that lawfully can enter into and form contracts under applicable law. For example, minors are not allowed to be a seller on Stamps2Go. To register as a seller, you must have a valid PayPal account in order to receive fund transfers of your sale proceeds from Stamps2Go . You must provide your real name, address and E-mail address.

The E-mail address you provide should be the primary E-mail address you use for PayPal. This Email address will be used when making fund transfers to your PayPal account.

2. SELLER FEES

Please review the Fee Schedule contained in the Help section (and incorporated into this Seller Agreement by reference). All fees are in U.S. dollars. The Fee Schedule may vary in the future. The current Fee Schedule in effect on the date of sale of each item shall govern the transaction. You should check the fees and terms each time you participate. All fees will be deducted from the proceeds of the sale, and the balance due (including shipping) will be credited to your Stamps2Go account.

If you fail to acknowledge an order, or cancel an order, a cancellation fee will be charged to your Stamps2Go account. The amount of the cancellation fee will be the same as would have been charged if the order had completed successfully.

By listing an item for sale on the Site, you authorize Stamps2Go to initiate a binding sale agreement with the buyer on your behalf. You also authorize Stamps2Go to deduct any applicable fees from the sale proceeds, charge the buyer any applicable shipping costs, and then transfer the net sale proceeds to your PayPal account.

Seller fees charged when the seller acknowledges an order (by entering a shipping date) are final and non-refundable. Seller agrees that these fees are charged in return for services rendered by Stamps2Go, and subsequent adjustments to the transaction by the buyer or seller, including cancellations and refunds, do not take away from the fact that the services were provided in good faith by Stamps2Go .

3. POLICIES AND GUIDELINES

You agree to abide by the policies and guidelines contained in the Help section (and incorporated into this Seller Agreement by reference) when selling on Stamps2Go. These policies and guidelines explain the processes and set out acceptable conduct and prohibited practices. We may change these procedures and guidelines in the future, and such changes will be effective immediately upon posting without notice to you.

4. Stamps2Go's ROLE

Stamps2Go provides a venue where third-party sellers can advertise items for sale to third party buyers. Stamps2Go allows the buyer to initiate a sale transaction with a seller, and transfers the proceeds of the sale to the seller, after collecting a seller fee. After payment is received and transferred to the seller's account, shipping of merchandise, and any further negotiations related to the sale are the responsibility of the respective buyers and sellers.

Stamps2Go has no financial interest in the sale, other than the seller fee which is collected based on the sale amount. As a Seller, you may list any item on the Site unless it is a prohibited item as defined in the policies and guidelines contained in the Help section. Only items which you are legally entitled to sell may be listed on Stamps2Go. This would generally be defined as items that you own, or items which you may legally offer as a representative for another party. Under no circumstances may you offer for sale items which are stolen, illegally obtained, counterfeit or fraudulant. It is up to the seller to accurately describe the item for sale to the best of his abilities.

5. TRANSFER OF FUNDS

Each seller registered with Stamps2Go must have a currently valid PayPal account so that funds may be transferred to him when requested. Failure to maintain a valid PayPal account will be considered a breach of this agreement. If any change is made to the seller's primary PayPal E-mail address, the seller must immediately indicate this change by updating his Stamps2Go User Registration information.

If, for any reason, a transfer of sale proceeds cannot be made to the seller, any amounts due will be held in escrow by Stamps2Go while we attempt to contact you to work out any problems which may exist. This would normally happen because the E-mail address provided to us is not the primary PayPal E-mail address, because of internet connection problems, or if the PayPal site is temporarily unavailable. The seller agrees that any balance in his Stamps2Go account will be forfeited if we cannot contact him within 60 days from the date of the sale.

All new sellers are subject to a probationary period of 90 days. During the probationary period, proceeds from each order will be held in escrow in the seller's Stamps2Go account until the sale is complete. An order is considered complete when it is marked as such by the buyer, or 30 days after the shipping date if no complaint is pending. Once the probationary period is over, proceeds from orders of $100.00 or more will be held in escrow in the seller's Stamps2Go account until the transaction is completed. See the Stamps2Go Account Escrow Policy for more details. Our escrow policy is necessary to protect Stamps2Go against charge-backs initiated through PayPal by the buyer.

Stamps2Go may earn interest or other compensation from the balances in our PayPal accounts that result from the timing difference between our being paid by Buyer and our PayPal account being debited to pay the seller.

6. REFUNDS AND DISPUTES

If the buyer is unhappy with items received from the seller, or if items are never received, it is the responsibility of the buyer and seller to resolve any resulting dispute. Stamps2Go offers a method for buyers to provide feedback about problems and disputes, but is not directly involved in this process.

If it is determined between the buyer and seller that a refund or partial refund is due the buyer, the arrangements for the transfer of funds must be made between the buyer and seller. Stamps2Go does provide a mechanism for making refunds once a sale has been acknowledged, however any refund must be agreed upon between the buyer and seller, and initiated by the seller.

The responsibility of Stamps2Go is deemed to be completed when the sale proceeds are transferred to the seller's Stamps2Go account. If the seller cannot be contacted regarding a pending sale, or fails to acknowledge the sale, and funds have not yet been transferred to the seller's account, Stamps2Go will refund to the buyer any amounts that have been transferred to Stamps2Go from his PayPal account.

If a buyer lodges a complaint, and the seller does not respond to the buyer in a timely manner, the webmaster may request an update on the status of the complaint from the seller. If the seller does not respond to the webmaster within 10 days regarding how the complaint will be settled, Stamps2Go will refund the buyer the full amount of the order and deduct the amount from the seller's Stamps2Go account. If a buyer does a charge-back through PayPal or his credit issuer, and the charge-back is upheld by the payment processor, Stamps2Go will deduct the amount of the charge-back from the seller's account. If there are insufficient funds in the seller's Stamps2Go account to cover the refund, the account will show a negative balance that will offset proceeds from future sales. In cases where a refund is not voluntarily issued by a seller, and must be done by Stamps2Go to settle a complaint, the complaint will be marked as "unresolved".

Stamps2Go reserves the right to deny seller status to any person or company that fails to honor this agreement, or that we can reasonably assume will not conduct transactions in an honest and respectable way. This would include existing registered sellers for whom we have received user complaints, and prospective sellers who we have reason to believe will use the Stamps2Go service improperly.

7. SELLER NOTIFICATIONS

Each registered seller must maintain a valid E-mail address to be used for notification of sales, disputes, or other communications. If the seller's E-mail address changes, it is his responsibility to update his Stamps2Go User Registration information accordingly. Sellers should check their E-mail frequently (at least once every 2 or 3 days) to facilitate the timely delivery of sale and dispute notifications.

If you have a sale pending, and you have not responded to your notification E-mail, we may try to contact you by phone if you have provided a phone number. Phone notification is not guaranteed, but may be done at our option if the sale amount warrants.

No notifications will be sent regarding changes to this Seller Agreement, or other policies and procedures. It is up to each individual seller to check the help section on the Stamps2Go site to stay abreast of the latest changes.

8. LISTING AND SELLING ITEMS

When a seller lists items for sale, he is obligated to sell the goods at the listed price. Upon receipt of payment from Stamps2Go, the seller must ship the items in a timely manner, using appropriate packaging materials.

IMPORTANT: Items you list for sale at Stamps2Go should not be available for sale elsewhere. This includes eBay auctions, other websites, or a retail store. When a buyer initiates a purchase at Stamps2Go, his payment is immediately received and the sale is confirmed. At this moment you, as the seller, are obligated to provide the items he has ordered.

All items should include a fair and accurate description as to their condition and grade. Item descriptions must abide by the Stamps2Go Content Policy. Any defects should be noted, unless an image of the item is provided which obviously shows the defect. Grading of philatelic items is a subjective art, so the seller should be prepared to offer a refund or settle any dispute that arises if the buyer's appraisal of the item is not the same as the seller's.

When a buyer places an order, Stamps2Go will collect payment from the buyer, and then send a notice to the seller advising him that a sale is pending. It is the seller's responsibility to monitor his E-mail and respond to this notification in a timely manner (within 5 days). Payment will not be transferred to the seller's PayPal account until he confirms notification of the sale and provides the shipping date and method for the purchased items.

After the sale is complete, the seller agrees to the further responsibility of monitoring his E-mail in a timely manner to check for any notifications which may be sent in the event of the buyer registering a complaint.

Each seller who has items listed for sale must log in to Stamps2Go at least once every 30 days to verify that he is still active and able to respond to an order should one be received. If a seller fails to log in for more than 30 days, his sale items will be placed on hold and temporarily removed from our listing. When items are on hold, a seller may log in at any time and re-activate his sale items.

When more than one identical item is listed for sale at Stamps2Go, they should be listed as one item with an appropriate "Quantity Available". The item will remain in our listing until the "Quantity Available" becomes zero, at which time it will be removed from the sale listing. Our nightly maintenance routines will automatically combine any duplicate items found into one listing item with a multiple quantity. Sellers who routinely engage in a practice of trying to list multiple duplicate items in order to "load" the listing in their favor will receive a warning.

Each seller agrees to limit the number of item listings he has available at any one time to 100,000 or less, unless special permission is granted by the webmaster (see below). If a sale item has a quantity available of more than one duplicate item, the sale item will still count as only one toward the maximum of 100,000. This provision is intended to prevent a single seller from overwhelming the Stamps2Go sale listing with a huge number of commonly available items. If we find that a seller is exceeding the limit of 100,000 sale listings, he will be asked to eliminate some of his items to bring the total number below the 100,000 item threshold. If the seller fails to limit his sale listings as described above, his seller priveleges will be revoked.

Sellers who have been active at Stamps2Go for at least one year, and have no record of unresolved complaints, may request an exemption from the webmaster to exceed the 100,000 item limit. If, in the webmaster's opinion, the items offered by the seller are diverse and priced reasonably, an exemption may be granted. This exemption is provisionary, and may be revoked if the seller fails to continue offering desirable and reasonably priced items.

9. SALES/USE TAXES

The seller agrees that it is the Seller's and the Buyer's responsibility to determine whether sales or use taxes apply to the transactions and to report and remit the correct tax to the appropriate tax authority. Stamps2Go is not obligated to determine if any taxes are due, and is not responsible to collect, report, or remit any sales or use taxes arising from any transaction. Accordingly, Stamps2Go does not add sales or use tax to any transaction initiated on our site.

Stamps2Go is primarily a venue for private individuals to buy and sell stamps. In such cases, the seller would not normally be authorized to collect sales or use tax. Generally, the responsibility is with the buyer to report the purchase and pay a use tax to his local taxing authority.

In cases where a Stamps2Go seller is a business that is obligated to collect sales tax, the seller agrees that he will responsibly report such sales to his local tax authority, and remit the proper taxes due as a cost of doing business.

10. CONFIDENTIALITY OF RECORDS

Information you provide to Stamps2Go as a part of the registration process will only be used for purposes necessary for the listing, sale, and transfer of funds on Stamps2Go. We will not sell, or otherwise make available, any information you provide to any third party for advertising or other purposes (except as noted in the section ILLEGAL ACTIVITY).

Your user ID, and the information provided for sale listings, is readily viewable by any visitor to the Stamps2Go site. Your E-mail address is only made available to buyers and sellers for contact purposes during or after a sale transaction. Your password is only used internally by Stamps2Go, and is never made available to third party persons under any circumstances.

It is your responsibility to protect your password from unauthorized use, and to change it if you feel its privacy has been compromised.

11. ILLEGAL ACTIVITY

The Stamps2Go site and services may be used only for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes, and regulations. You may not register under a false name or impersonate any participant or use another participant's password(s). Such fraudulent conduct is a violation of federal and state laws.

Fraudulent conduct may be reported to law enforcement Stamps2Go has the right, but not the obligation, to monitor any activity and content associated with this site, and may investigate any reported violation of its policies or complaints and take any action that it deems appropriate. This includes the right to report any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties.

Stamps2Go will cooperate with law enforcement authorities, when legally requested, to provide information during the course of a legal investigation.

12. NO WARRANTIES

The Stamps2Go site and services are provided "as is", and no claim or warranties are made that the site will meet your requirements, will always be accessible, or will be free from errors. No claim is made as to the proper conduct, or validity of information provided by users of the site.

13. LIMITATION OF LIABILITY

Stamps2Go will not be liable for any damages of any kind, incurred as a result of using the site. Sellers and buyers agree not to hold Stamps2Go responsible for any damages, financial or otherwise, that may result from listing items for sale, buying, selling, or any other use of the site.

14. APPLICABLE LAW

The Stamps2Go site and services are arranged, sponsored, or managed by Stamps2Go in the state of Florida, USA. The laws of the state of Florida govern this agreement and all of its terms and conditions.

15. TERMINATION OF SELLER STATUS BY Stamps2Go

Stamps2Go reserves the right to deny seller status to any person or company that fails to honor this agreement, or that we can reasonably assume will not conduct transactions in an honest and respectable way. This would include existing registered sellers for whom we have received user complaints, and prospective sellers who we have reason to believe will use the Stamps2Go service improperly.

If Stamps2Go terminates the seller registration of a seller, any and all funds due to the seller will immediately be transferred to the seller's PayPal account, if possible. If there is a problem contacting the seller, or if the seller's PayPal account is not valid, the rules defined under 'TRANSFER OF FUNDS" will apply. Any items a seller has listed on Stamps2Go when his seller status is terminated will be immediately deleted from the listings.

16. TERMINATION OF SELLER STATUS BY SELLER

The seller may terminate his seller status at any time, and without notice, by simply unchecking the 'Register as Seller' checkbox on the User Registration Information page. All items listed for sale by the seller will immediately be removed from our listings. Any sales which have previously been initiated, and are not yet complete, will be completed by Stamps2Go, and must be honored by the seller.
